About these Terms

These Terms govern access to and use of Breon Solutions Limited's software products, including CDD Workspace. By accessing or using the Services, the Customer agrees to these Terms.

Licence

Breon grants the Customer a limited, non-exclusive, non-transferable licence to use the Services during the subscription term for its internal business purposes.

Acceptable Use

Customers must not misuse the Services, upload malware, interfere with security, reverse engineer the software, or use the Services unlawfully.

Customer Data

Customers retain ownership of their data. Breon processes customer data solely to provide and support the Services, subject to applicable agreements and the Privacy Policy.

Intellectual Property

Breon will use reasonable efforts to maintain availability but does not guarantee uninterrupted service. Planned maintenance may occasionally occur.

Fees

Subscription fees are payable under the applicable Order Form or quotation. Unless otherwise agreed, fees are non-refundable.

Confidentiality

Each party must keep the other's confidential information confidential except where disclosure is required by law.

Data Protection

Both parties will comply with applicable data protection legislation. Where Breon acts as processor, a Data Processing Agreement will apply where required.

Limitation of Liability

Nothing excludes liability that cannot legally be excluded. Subject to this, Breon's aggregate liability is limited to the subscription fees paid during the preceding 12 months. Breon is not liable for indirect or consequential loss.

Suspension and Termination

Breon may suspend access for security reasons, material breach or non-payment. Either party may terminate in accordance with the subscription agreement.

Governing Law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
